Draft for review — not yet effective

Project-specific terms — draft for review. Draft for review — not yet effective. This outline is provided by Black Box Theory LLC, Florida, United States, for discussion only. It does not itself create a service commitment. Signed client agreements define the applicable terms.

1. Scope and milestones

The signed agreement should identify the agreed work, deliverables, milestones, responsibilities and any exclusions. Project assumptions and dependencies should be clear before work begins.

2. Fees and change requests

Fees, payment stages and expenses should be specified in the signed agreement. Changes to scope, timing or cost should follow an agreed change-request process, with approval responsibilities identified.

3. Client dependencies

The project plan should identify client decisions, access, information and participation needed to deliver the work, along with how delays or changed assumptions will be handled.

4. Acceptance and handover

The parties should agree on acceptance criteria, review steps, handover materials and access arrangements. Training or transition assistance should be included where agreed, rather than assumed.

5. Ownership and tools

Ownership and permitted use of project deliverables should be stated in the signed agreement. Pre-existing materials and third-party tools, software, models and licenses should be distinguished from project-specific work. This outline does not transfer intellectual-property rights or override third-party terms.

6. Confidentiality and data

The agreement should define confidentiality responsibilities, authorized disclosures and any project-specific data-handling requirements. A separate signed DPA should be used where needed.

7. Termination and support

Termination rights, payment for work completed, transition arrangements and any continuing obligations should be agreed in writing. Ongoing maintenance, support or hosting should be specified in the signed agreement; no ongoing service commitment is established by this page.

Review note

Scope, commercial terms, ownership, acceptance and legal provisions must be reviewed for the actual engagement before signature. Questions: admin@blackboxtheory.ai.
