1. Roles and processing details
Where a DPA is needed, the signed document should identify the parties’ roles, processing purposes, duration, categories of information and people concerned. These details must reflect the actual project rather than pre-filled assumptions.
2. Instructions and confidentiality
The DPA should document authorized instructions, access boundaries, confidentiality responsibilities and how changes to instructions will be handled. Access should be scoped to the agreed work.
3. Security requirements
Project-specific security requirements should be assessed and documented with the relevant responsibilities. This outline does not assert certifications or prescribe controls that have not been agreed and verified.
4. Subprocessors and transfers
The signed DPA should identify applicable subprocessor arrangements, authorization or notification procedures and any international transfers. Required protections depend on the processing and applicable law. No provider list or overseas legal presence is assumed here.
5. Cooperation and assistance
The DPA should address incident cooperation, information sharing and assistance with applicable privacy-rights requests. Any required notification process or timing should be documented for the engagement and applicable law; this draft establishes no unsupported incident deadline.
6. End-of-service handling
Return, export or deletion arrangements, responsibilities and legal retention exceptions should be documented in the signed DPA where needed. No pre-filled annexes or fixed retention periods are established by this page.
